Agreement to Our Legal Terms

We are Poppins Labs LLC, Cupertino, California ("Company," "we," "us," "our").

We operate the mobile application HistoryDays (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement between you and the Company concerning your access to and use of the Services. By accessing the Services, you confirm you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right to make changes to these Legal Terms at any time. We will alert you by updating the "Last updated" date. Continued use of the Services constitutes acceptance of the revised Terms.

Minors must have parental permission to use the Services. If you are a minor, your parent or guardian must read and agree to these Legal Terms before you use the Services.

1. Our Services

The HistoryDays app provides historical information, audio, video, AI-generated content, quizzes, and related educational content for personal, non-commercial use. The information provided is for general educational purposes only and is not intended as professional advice of any kind. See our Content Disclaimer for details.

The Services are not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA). If your interactions would be subject to such laws, you may not use the Services.

2. Intellectual Property Rights

Our intellectual property

We own or license all intellectual property rights in our Services, including source code, databases, functionality, software, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as all trademarks and logos (the "Marks"). Content and Marks are provided "AS IS" for your personal, non-commercial use only.

Subject to these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print Content solely for personal, non-commercial use. No part of the Services or Content may be reproduced, distributed, sold, or otherwise exploited for commercial purposes without our prior written permission.

Your submissions

By sending us feedback, suggestions, or other information ("Submissions"), you assign all intellectual property rights in such Submissions to us. You confirm your Submissions are lawful, not misleading, and do not infringe any third-party rights.

By using the Services, you represent and warrant that: (1) you have the legal capacity to agree to these Terms; (2) you are not a minor, or you have parental permission; (3) you will not use the Services for illegal or unauthorized purposes; and (4) your use will not violate any applicable law or regulation.

4. User Registration

You may be required to register to use the Services. You agree to keep your credentials confidential and are responsible for all activity under your account. We reserve the right to remove or reclaim usernames deemed inappropriate.

5. Purchases and Payment

All purchases and subscriptions are managed by Apple's App Store payment systems. We reserve the right to refuse any order at our discretion.

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. The length of your billing cycle depends on the plan you selected at the time of subscription.

Free Trial

We may offer a free trial to new users. At the end of the trial, your account will be charged according to the subscription plan you selected.

Cancellation

You can cancel your subscription at any time directly through Apple. Cancellation takes effect at the end of the current billing period. For questions, contact us at [email protected].

Fee Changes

We may change subscription fees and will communicate any price changes in accordance with applicable law.

9. Mobile Application License

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control, strictly in accordance with these Legal Terms. You shall not decompile, reverse engineer, adapt, or create derivative works from the App.

Apple Devices

When you use the App from the Apple App Store: (1) the license is limited to use on Apple iOS devices per Apple's usage rules; (2) Apple has no obligation to provide maintenance or support; (3) Apple is not responsible for any warranty claims; and (4) Apple is a third-party beneficiary of this license agreement.

10. Third-Party Websites and Content

The Services may contain links to third-party websites or content. We do not monitor or endorse such content and are not responsible for it. You access third-party content at your own risk.

11. Services Management

We reserve the right to monitor the Services for violations, take appropriate action against violators, remove content, and otherwise manage the Services to protect our rights and users.

13. Term and Termination

These Legal Terms remain in full force while you use the Services. We reserve the right to deny access, terminate accounts, or block users at our sole discretion and without notice for breach of these Terms or applicable law.

We reserve the right to change, modify, or remove content from the Services at any time without notice. We are not liable for any interruption, suspension, or discontinuance of the Services.

These Legal Terms are governed by the laws of the State of California, without regard to conflict of law principles.

16. Dispute Resolution

Binding Arbitration

Disputes that cannot be resolved informally will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in California. BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

Restrictions

Any arbitration shall be limited to the dispute between the parties individually. No class actions or representative proceedings are permitted.

Exceptions

Disputes involving intellectual property rights, theft, privacy violations, or claims for injunctive relief are not subject to arbitration.

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT.

18. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Services, breach of these Terms, or violation of any third-party rights.

There may be typographical errors, inaccuracies, or omissions in the Services. We reserve the right to correct them at any time without prior notice.

By using the Services, you consent to receive electronic communications from us. You agree that all agreements and notices provided electronically satisfy any legal requirement that such communication be in writing.

These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not be a waiver of that right. If any provision is found unlawful or unenforceable, it shall be severed without affecting the remaining provisions.
